Terms and Conditions

Effective Date: 27/10/25

These Terms and Conditions govern all services provided by Harwin Creative (“we,” “our,” or “us”) to the client (“you” or “the client”). By engaging our services, you agree to these terms in full.

1. Services

We provide website design, development, and related services as outlined in your project proposal or invoice. Any additional work requested outside of the agreed scope may be subject to additional fees.

2. Project Commencement

Projects commence once:

  • The client approves the project quotation or proposal in writing or by email.

  • A 50% deposit of the total quoted cost has been paid.

3. Payments and Delayed Second Payment Guarantee

  • The remaining 50% balance is payable upon project completion and before the website goes live or deliverables are provided.

  • We offer a delayed second payment guarantee, allowing clients to delay the balance payment for up to 3 days after project completion for review and satisfaction purposes.

  • If payment is not made within this period, late payment fees may apply as outlined in Section 9.

4. Deposit and Refund Policy

  • The 50% deposit is fully refundable if the client is not satisfied with our design during the initial concept phase and chooses not to proceed.

  • Once the design is approved or development begins, the deposit becomes non-refundable, as work and time have already been invested.

  • Refunds will not be issued after client approval of major deliverables (e.g., final mockups, site launch).

5. Client Responsibilities

The client agrees to:

  • Provide all requested content, imagery, feedback, and materials in a timely manner.

  • Ensure that all content provided does not infringe on any copyright, trademark, or third-party rights.

  • Maintain regular communication to facilitate project progress.

Delays in providing requested materials or approvals may extend project timelines.

6. Revisions and Changes

Each project includes a fixed number of design revisions as specified in your proposal. Additional revisions or scope changes may incur extra costs, which will be communicated and agreed upon prior to implementation.

7. Website Launch and Handover

Once final payment is received, ownership of all design files, code, and associated materials created for the project will transfer to the client, except for:

  • Any third-party assets or licenses.

  • Frameworks, templates, or proprietary tools used in development.

8. Design Credit and Attribution

The client grants Harwin Creative the right to include a discreet design credit or signature link (for example, “Website by Harwin Creative”) at the bottom or footer of the completed website.
This credit may be placed before or after the site’s launch and shall remain visible unless the client expressly requests its removal in writing prior to or after completion. Removal of the credit will not affect the validity of the project agreement.

9. Intellectual Property

Until full payment is received:

  • All design and development work remains the intellectual property of Harwin Creative.

  • Upon full payment, all intellectual property rights transfer to the client, excluding any pre-existing or third-party materials.

10. Late Payments

Any unpaid invoices beyond the stated due date may incur interest charges of 5% per month, plus any collection costs incurred in recovering payment.

11. Warranties and Liability

  • We guarantee that our work will perform as intended for a period of 30 days after launch, excluding issues arising from client changes, third-party plugins, hosting issues, or external interference.

  • While we take reasonable steps to ensure quality and functionality, we are not liable for indirect or consequential losses arising from use or malfunction of the website.

12. Termination

Either party may terminate the project at any time with written notice. Termination after work has begun may result in partial charges proportionate to work completed. Completed design work remains the property of Harwin Creative until all dues are settled.

13. Confidentiality

Both parties agree to keep all project-related materials and information confidential and not disclose them to third parties without prior written consent.

14. Governing Law

These Terms and Conditions shall be governed by and construed under the laws of the United Kingdom. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Acceptance of Terms

By paying the deposit or written acceptance of the proposal, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
